By accessing or using the ContactPull Contact Discovery System (the "Service") provided by ContactPull Technologies Inc., a corporation incorporated under the laws of British Columbia, Canada (Business Number: 604344909) ("ContactPull," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

ContactPull is a B2B contact discovery and verification platform that helps businesses identify and verify contact information for potential business prospects. The Service provides:

  • Business contact discovery across multiple data sources
  • Email and phone number verification with up to 99% accuracy
  • Company intelligence and insights
  • API access for integration with your systems
  • Export capabilities in various formats
  • Compliance tools for data protection regulations

3. Acceptable Use Policy

3.1 Permitted Uses

You may use the Service to:

  • Discover legitimate business contacts for lawful business purposes
  • Verify contact information for existing business relationships
  • Generate leads for products or services offered by your business
  • Conduct market research and business intelligence
  • Enhance your CRM and sales databases

3.2 Prohibited Uses

You may NOT use the Service to:

  • Send unsolicited commercial email (spam) in violation of applicable laws
  • Violate any applicable laws or regulations, including:
    • Canada's Anti-Spam Legislation (CASL)
    • CAN-SPAM Act (US)
    • GDPR (EU)
    • CCPA (California)
  • Harass, stalk, threaten, or otherwise harm individuals
  • Engage in fraudulent, deceptive, or illegal activities
  • Sell, rent, or sublicense the data obtained from the Service
  • Use automated scripts or bots without written permission
  • Attempt to reverse engineer or hack the Service
  • Exceed your subscription limits or fair use guidelines

4. User Accounts and Security

4.1 Account Registration

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must notify us immediately of any unauthorized access
  • One account per person or organization unless otherwise agreed

4.2 Account Responsibilities

You are responsible for all activities under your account, including those by employees or agents. You agree to keep your login credentials confidential.

5. Subscription and Billing

5.1 Subscription Plans

  • Various plans available with different features and limits
  • Monthly or annual billing options
  • Prices subject to change with 30 days notice
  • All prices in USD unless otherwise specified

5.2 Payment Terms

  • Payment due upon subscription and at each renewal
  • Automatic renewal unless cancelled
  • No refunds for partial periods
  • Late payments may result in service suspension

5.3 Taxes

Prices exclude applicable taxes. You are responsible for all applicable taxes including GST/HST, PST, and other sales taxes.

6. Data Accuracy and Disclaimers

6.1 Accuracy Disclaimer

While we strive for high accuracy (up to 99% for emails, up to 95% for phone numbers), we cannot guarantee 100% accuracy of all information. Data is sourced from publicly available information and third-party providers.

6.2 Your Responsibilities

  • Verify information before use in critical applications
  • Comply with all applicable privacy and anti-spam laws
  • Obtain necessary consents before contacting individuals
  • Use information ethically and professionally

7. Intellectual Property

7.1 Our Property

The Service, including all software, design, text, images, and data, is owned by ContactPull or our licensors and protected by intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service and data obtained for your internal business purposes only.

7.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or included software without written permission.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy. We comply with Canadian privacy laws (PIPEDA, PIPA), GDPR, and other applicable data protection regulations.

By using the Service, you agree to process any personal data obtained in compliance with applicable privacy laws and regulations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

9.1 No Consequential Damages

ContactPull shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

9.2 Liability Cap

Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

9.3 Disclaimer of Warranties

The Service is provided "AS IS" without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless ContactPull, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content or data you submit through the Service

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Non-payment
  • Fraudulent or illegal activity
  • Extended inactivity

11.3 Effect of Termination

Upon termination, your access to the Service will cease. We may delete your data after 90 days unless legally required to retain it.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes shall be resolved exclusively in the courts of British Columbia, Canada, and you consent to personal jurisdiction in these courts.

12.3 Arbitration Option

For claims under $50,000, either party may elect binding arbitration under the rules of the British Columbia International Commercial Arbitration Centre.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and ContactPull.

13.2 Amendments

We may update these Terms from time to time. Material changes will be notified via email or the Service with 30 days notice.

13.3 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

13.4 No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

13.5 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
